No Guaranteed Results
We do not guarantee specific revenue, sales, profit, advertising performance, rankings, conversion rates, customer acquisition costs, or other business results.
Marketing and e-commerce performance depends on numerous factors outside our control, including market conditions, competition, pricing, product quality, customer demand, advertising budgets, platform policies, and client implementation.
Client Responsibilities
Clients are responsible for providing accurate information, required access, approvals, materials, product information, brand assets, and other resources reasonably required to perform the services.
Delays in receiving required materials or approvals may affect project timelines.
Payment
Fees, payment schedules, billing dates, and applicable taxes will be communicated before services begin.
Unless otherwise stated in writing, payments are due according to the applicable invoice or service agreement.
Failure to make required payments may result in suspension or termination of services.
Third-Party Platforms
Our services may involve third-party platforms such as Shopify, Meta, Google, email providers, payment processors, analytics platforms, or other technology providers.
We do not control third-party platforms and cannot guarantee their availability, policies, functionality, approval decisions, or performance.
Intellectual Property
Unless otherwise agreed in writing, each party retains ownership of materials and intellectual property it owned before the engagement.
Ownership or licensing of project-specific deliverables will be governed by the applicable proposal, statement of work, or service agreement.
Confidentiality
We will take reasonable steps to protect confidential information shared with us in connection with a project.
Confidentiality obligations may also be governed by a separate agreement where applicable.
Limitation of Liability
To the maximum extent permitted by applicable law, Vytal Brands will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services.
Nothing in these Terms excludes liability that cannot legally be excluded.
Changes to Services
We may update, modify, or discontinue website features from time to time.
Changes to contracted client services will be handled according to the applicable service agreement.
Governing Law
These Terms will be governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles.
